Confidence in the market for builders of newly built, single-family homes rose in August to its highest level since June 2008, according to the National Association of Home Builders/Wells Fargo Housing Market Index.</p>
<p>Home building expectations have been buoyed by the success of the first-time home buyer tax credit that expires Nov. 30, 2009.  Concerned Chairman Joe Robson of NAHB wonders whether there will be enough momentum to keep us moving toward a recovery, in light of  the severe credit crunch for housing production loans and inappropriate appraisal practices that are scuttling a quarter of all new-home sales.  Unless Congress and the Administration focus on housing there is concern that the current sales may well be short lived.  S&amp;S Builders in Yorba Linda California report that they have a waiting list for condominiums in the 500K range.</p>

August 8, 2009.  General Motors Co. plans to register 3.5 billion shares of stock to ready itself for a public offering sometime next year, using the proceeds to repay at least part of what it owes the U.S. government and other stakeholders.</p>
<p>GM disclosed in a filing with the U.S. Securities and Exchange Commission on Friday that it would register 2.5 billion common and 1 billion preferred shares in preparation for the public sale. Its executives and the government have said they expect the sale sometime in 2010, but no date has been disclosed.</p>
<p>Spokeswoman Julie Gibson said the company is merely authorizing 3.5 billion shares but likely would not sell that high of a number in an initial public offering. It is common practice, she said, for companies to register more shares than they issue.</p>
<p>Current GM stakeholders include the U.S. government, which now owns 61 percent of the Detroit Company. So far GM has received $50 billion in U.S. government aid, some of which is to be repaid with the stock sale.</p>
<p>GM emerged from bankruptcy court on July 10 after a lightning-quick 40-day stay, cleansed of much of its debt and burdensome contracts. Its good assets were sold to a new company.</p>
<p>Just before it filed for bankruptcy protection, GM had about 611 million shares outstanding, but those shares stayed with the old GM, which now is mainly a collection of debt as well as closed plants and bad assets waiting to be liquidated.</p>
<p>The company also disclosed Friday that it would not report second-quarter earnings this year, but it will disclose its performance for the three- and nine-month periods before Sept. 30. Those reports will come after the third quarter closes, and t<strong>he company says they will not comply with general U.S. accounting principles.</strong></p>

<p>General Motors Company (GM) today filed with the Securities and Exchange Commission (SEC) a Form 8-K with details on a number of matters that have occurred since the new company launched on July 10, 2009 as well as a comprehensive review of the business. GM agreed to provide this qualitative, non-financial information as part of its understanding with the SEC regarding the company’s filing requirements and those of Motors Liquidation Company (formerly General Motors Corporation), which sold substantially all of its assets to GM.</p>
<p>Some of the information filed today includes:</p>
<ul>
<li> information on ownership structure, corporate governance, directors and executive officers and previously disclosed compensation details for 2008 and 2009 as filed with the SEC by Motors Liquidation Company under the name General Motors Corporation on March 5, 2009 and for 2009 by GM on July 16, 2009</li>
<li> description of securities and warrants</li>
<li> significant operational and financial agreements and related exhibits</li>
<li> risk factors and regulatory issues that may affect GM’s operations</li>
</ul>
<p>“Today&#8217;s disclosures are consistent with our commitment to remain transparent and to keep the public informed of our progress,” said Fritz Henderson, GM president and CEO.</p>
<p>Although GM is a private company and not subject to the same filing requirements as publicly held companies under the Securities Exchange Act of 1934, the company will continue to file certain information with the SEC about material business matters as well as provide certain disclosures about the company’s financial status and key indicators of the company’s progress.</p>
<p>Upon the completion of the third quarter 2009 and finalization of GM’s accounting records, the new company will file a Form 8-K with quarterly information for the three- and nine-month periods ending September 30, 2009. The financial and related information will be consistent with information used by management to assess operating results for the period but will not comply with GAAP, as it will not incorporate “fresh start” accounting and other adjustments related to the recently concluded 363 sale.</p>
<p>In 2010 GM plans to file a fully compliant Form 10 to register its common stock under Section 12 of the Exchange Act, as well as fully compliant Forms 10-Q and 10-K, including GAAP compliant financials, for the periods ending September 30, 2009 and December 31, 2009 respectively.</p>

<p>UAL will move its massive operations center out of its former headquarters in Elk Grove.</p>
<p>It was reported Wednesday that UAL executives said the decision was driven by economics, because the airline would have to spend $50 million to upgrade the Elk Grove Township operations center.</p>
<p>Alderman Robert Fioretti (2nd) confirmed UAL was seeking $25 million in TIF funding and said the mayor’s office was planning a formal announcement for Thursday.</p>

<p>PURCHASE, N.Y., SOMERS, N.Y. and MINNEAPOLIS, Minn. (August 4, 2009) <strong> — </strong>PepsiCo (NYSE: PEP ) today announced that it has entered into definitive merger agreements with The Pepsi Bottling Group, Inc. (NYSE: PBG ) and PepsiAmericas, Inc. (NYSE: PAS ) under which PepsiCo will acquire all of the outstanding shares of common stock it does not already own in its two largest anchor bottlers.<span>Under the agreements, PBG shareholders will have the option to elect either $36.50 in cash or 0.6432 shares of PepsiCo common stock (which had a value of $36.50 based on PepsiCo closing share price of $56.75 on July 31, 2009) for each share of PBG , subject to proration such that the aggregate consideration to be paid to PBG shareholders shall be 50 percent cash and 50 percent PepsiCo common stock. Similarly, PAS shareholders will have the option to elect either $28.50 in cash or 0.5022 shares of PepsiCo common stock for each share of PAS (which had a value of $28.50 based on PepsiCo closing share price of $56.75 on July 31, 2009), subject to proration such that the aggregate consideration to be paid to PAS shareholders shall be 50 percent cash and 50 percent PepsiCo common stock.</span></p>
<p>The total value of the shares that PepsiCo will be acquiring is about $7.8 billion, and the acquisitions will create one of the largest food and beverage companies globally. Based on the recommendations of the Special Committee of PBG and the Transactions Committee of PAS , the boards of directors of PBG and PAS , respectively, have approved the transactions.</p>
<p>This transaction is expected to create annual pre-tax synergies of $300 million by 2012 largely due to greater cost efficiency and also improved revenue opportunities. The acquisitions are expected to be accretive to PepsiCo’s earnings by about 15 cents per share when synergies are fully realized in 2012.</p>
<p>PepsiCo Chairman and Chief Executive Officer Indra Nooyi said “PepsiCo has had a constructive partnership with PBG and PAS over the past 10 years. While the existing model has served the system very well, it is clear that the changing dynamics of the North American liquid refreshment beverage business demand that we create a more flexible, efficient and competitive system that can drive growth across the full range of PepsiCo beverage brands. Our shared culture, strong operational leadership and ability to successfully integrate operations – in this case operations we know very well – should allow us to bring the businesses together quickly and seamlessly.</p>

<p><strong>Combination will drive future growth </strong></p>
<p>PepsiCo expects the transaction to directly complement the transformation efforts already underway in its North American beverage business. Those efforts have included refreshing such brands as Pepsi and Gatorade and introducing an array of new products, ranging from the naturally sweetened zero-calorie SoBe Lifewater to low-calorie Trop50. At the same time PepsiCo has taken steps to fundamentally improve its cost structure.</p>

<li>Consolidation of 80 percent of the North American beverage volume will speed the decision-making process and eliminate friction points</li>
<li>Offering more compelling bundles across food and beverage and providing enhanced customer service nationally, taking the “Power of One” to the next level</li>
<li>Consolidation of manufacturing networks will provide cost benefits and also optimize our investments in growth and innovation</li>
<li>Greater flexibility in deploying multiple go-to-market systems to tailor distribution by channel</li>
<li>Elimination of redundant costs to leverage scale efficiencies</li>

<p>The acquisitions are not subject to financing contingencies, but they are subject to c ustomary approvals, including regulatory approvals and approval of the transaction by stockholders of PBG and PAS .
